Canada Revenue Agency (CRA) Board of Management

The Canada Revenue Agency Board is responsible for overseeing the organization and administration of the CRA. The CRA has the mandate to administer tax, benefits, and other programs, and to ensure compliance on behalf of governments across Canada, thereby contributing to the ongoing economic and social well-being of Canadians.

What is the function of the CRA Board of Management?

The Board has the responsibility of overseeing the organization and management of the CRA, including the development of the Corporate Business Plan, and the management of policies related to resources, services, property, personnel, and contracts.The Board fulfills its responsibilities with the assistance of four committees, which undertake much of the detailed work of the Board – the Governance, Audit, Human Resources and Resources Committees.  

How many people are on the organization?

The Board of Management consists of 15 members appointed by the Governor in Council, 11 of whom have been nominated by the provinces and territories. Prince Edward Island is responsible for the nomination of one person.

What are the requirements of members?

The following is a list of competencies, knowledge, and experience required by directors collectively:

  • Organization and leadership: demonstrated leadership and decision-making qualities and organizational abilities to ensure Board meetings are conducted in an efficient, effective, and focused manner.
  • Corporate governance: extensive experience in corporate governance, including the co-ordination of committees and the selection of committee members; capacity to ensure proper deliberations on all matters requiring the Board’s attention; demonstrated ability to ensure cohesion of direction and purpose a policy and strategic level.
  • Strategic outlook and alignment: ability to take a broad, holistic, and strategic view of an organization; capacity to grasp the meaning of trends and interrelationships between an organization and its environment; ability to connect strategies to specific activities and to the achievement of an organizations objectives.
  • Corporate management: demonstrated experience in successfully managing large organizations with a demonstrated ability to identify problems, review strategies and maintain accountability; experience in board capacity development and succession planning.
  • Team and consensus-building: demonstrated ability for team and consensus-building; excellent listening skills in order to act as a sounding board for the Commissioner-CEO and other directors and to build relationships with the members of the Board; ability to foster a constructive and harmonious relationship between the Board and Agency management.
  • Communications and public relations: demonstrated communications experience in order to speak on behalf of the Board, when required.

What are the nomination requirements?

Through this recruitment (2018), the Board is looking to candidates who have competency in Information Technology or who have a background in, or extensive knowledge of, the “customer experience”. Applicants will be recruited through Engage PEI and nominated by the provincial government, for appointment by the Governor in Council.

Will I get paid?

The CRA pays directors an annual retainer and a daily fee for their participation on the Board. Retainers and fees are based on the amounts set by the Governor in Council and are paid quarterly through direct deposit. income taxes, Canada Pension Plan and any other statutory deductions are normally deducted prior to payment.

Director remuneration fixed by Governor in Council:

per diem ($475 - $550)
annual ($7,300 - $8,600)

Additionally, Directors acting as chairpersons of committees of the Board receive a per diem within the range ($565 - $665) and an annual retainer within the range ($11,100 - $13,000).

What is the time commitment?

The Board meets at least eight times a year. It generally meets in person on a quarterly basis (June, September, December and April) for three consecutive days, including director development sessions, committee meetings and the board meeting. Meetings are usually at CRA headquarters in Ottawa. There are also scheduled teleconferences of the full board to discuss specific agency business items. Other board teleconferences may be scheduled between quarterly in-person board meetings.
